ToneGrid provides:

You retain todo ownership rights to Content uploaded to the Plataforma. By uploading Content, you grant ToneGrid a non-exclusive, worldwide license to almacenar, process, transcódigo, y deliver that Content to DSPs on your behalf.
You represent y warrant that you own or have obtained todo necessary rights, licenses, y clearances for todo Content uploaded, including grabación maestras, composicións, artwork, y — where applicable — the commercial output rights from any AI tools used in the creation of such Content.
ToneGrid’s name, logo, y platform código remain the exclusive property of InterSpace Distribution Limited. Marca blanca does no transfer any IP rights in the underlying Plataforma.
AI-Generated Content
ToneGrid accepts AI-generado y AI-assisted music subject to the requirements set out in our AI Music Política. By distributing AI-generado Content a través de ToneGrid, you represent that the AI tool used has obtained todo necessary rights to permit commercial distribución of its output, y that you have complied with todo relevant disclosure y metadata requirements. ToneGrid does no accept Content generado using AI platforms that have no secured appropriate licensing agreements with rights holders — including, at present, Suno AI. ToneGrid responds to notices of alleged derechos de autor infringement in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512) y our Política DMCA. Fraudulent & Infringing Content

ToneGrid collects royalties from DSPs on behalf of Clients. Regalías are calculard based on actual DSP reports y are subject to a platform revenue share as specified in your subscription agreement.

ToneGrid is no responsible for delays or discrepancies in DSP reporting. We report what DSPs report to us.
ToneGrid targets 99.9% uptime for todo production services, measured monthly. Scheduled maintenance windows (announced 48 hours in advance) are excluded from uptime calculations.
In the event of SLA breach, Enterprise clients may be eligible for service credits as defined in their individual agreements. Service credits are the sole y exclusive remedy for falta del tiempo.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TONEGRID’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

Either party may terminate the agreement with 30 days’ written notice. Upon termination:
- Active DSP deliveries will be maintained for 90 dias to allow transition

Terminación por causa
ToneGrid may suspend or terminate a Client’s account immediately, without prior notice, in the following circumstances:

- Fraudulent arroyoing activity or manipulation of DSP royalty systems
- Distribución of Content generado by an AI platform that has no secured proper rights clearances (ver AI Music Política)
- Violation of any DSP’s Terms of Use

Sistema de alerta
Where a violation does no require immediate termination, ToneGrid applies the two-advertencia system described in our Política antifraude. A Client will receive up to two formal advertencias antes ToneGrid considers account termination, except in cases of extreme or repeated violations that materially harm ToneGrid’s DSP relationships or legal standing. Warnings are issued within 3 días hábiles of a violation being discovered. ToneGrid maintains the right to terminate at any time at its sole discretion regardless of the number of prior advertencias.
Regalías por terminación
Regalías associated with Content eliminard due to fraud or infringement will be withheld in escrow for a period of 24 meses in accordance with DSP contractual requirements. Regalías due on legitimately distributed Content will be paid on the normal cronograma after final statement generation.
Estos Términos se rigen por las leyes de la República Federal de Nigeria. Cualquier disputa se resolverá mediante arbitraje en Port Harcourt, estado de Rivers, conforme a la Ley de Arbitraje y Conciliación (Cap A18, LFN 2004).
Para clientes fuera de Nigeria, las disputas pueden resolverse alternativamente según las Reglas de Arbitraje de la CCI, con sede del arbitraje en Lagos, Nigeria.
Podemos actualizar estos Términos de vez en cuando. Los cambios materiales se comunicarán por correo electrónico y/o notificación en la plataforma al menos 30 días antes de que entren en vigor.
